1. Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of the Response Formula website and the lead generation services we offer (collectively, the “Services”). By accessing the site or submitting an inquiry you agree to these Terms. If you do not agree, do not use the Services.
2. The Services
Response Formula sources, verifies, and delivers business leads to customers on a pay-per-lead basis. Specifics of any engagement, including pricing, lead criteria, delivery method, and replacement policy, are confirmed in a separate written order or agreement.
3. No guarantee of results
We use commercially reasonable efforts to deliver leads that match the criteria agreed in your order. We do not guarantee that any lead will convert into a sale, customer, or revenue. Past performance is not indicative of future results.
4. Your responsibilities
- Provide accurate information and lead criteria.
- Use any leads we deliver in compliance with applicable laws, including the TCPA, CAN-SPAM, GDPR, CCPA/CPRA, and DNC rules.
- Maintain the confidentiality of any credentials we issue you.
- Not resell, sublicense, or share leads we deliver without our prior written consent.
5. Fees and payment
Fees, billing cycle, and payment terms are defined in your order. Test batches and trial offers, if any, are governed by the terms presented at the time of the offer. Unless otherwise agreed, you only pay for leads that meet the agreed criteria.
6. Intellectual property
The site, including its text, graphics, logos, and software, is owned by Response Formula and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
7. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose.
- Interfere with or disrupt the integrity or performance of the site.
- Attempt to gain unauthorized access to our systems or data.
- Reverse engineer or scrape any part of the Services.
8. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of liability
To the maximum extent permitted by law, Response Formula and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity. Our aggregate liability arising out of or related to the Services will not exceed the greater of (a) the fees you paid us in the three months preceding the event giving rise to the claim or (b) USD $100.
10. Indemnification
You will defend, indemnify, and hold harmless Response Formula and its officers, directors, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, or your breach of these Terms or applicable law.
11. Termination
We may suspend or terminate your access to the Services at any time if you breach these Terms or for any other reason in our reasonable discretion. Sections that by their nature should survive termination will survive.
12. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Response Formula is established, without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the courts located in that jurisdiction for any dispute that is not subject to arbitration. Where required by law, you retain any non-waivable rights under your local consumer protection laws.
13. Changes to the Terms
We may modify these Terms from time to time. The “Last updated” date above indicates when they were last revised. Continued use of the Services after a change constitutes acceptance of the revised Terms.
